디지털저작물거래에 있어 최초판매원칙의 적용여부에 관한 연구 - Vernor v. Autodesk 사건을 중심으로

미국 제9연방항소법원은 Vernor v. Autodesk 사건에서 소프트웨어의 거래에 대한 최초판매원칙의 적용여부는 최초 거래의 법적 성질에 따라 결정되며, 동사건에서 최초 거래는 ‘라이센스’로서 최초판매원칙이 적용되지 않는다고 판결하였다. 동판결은 최종사용자계약서(End User License Agreement; 이하 EULA) 해석을 통한 소프트웨어 거래의 법적 성질에 관한 기준을 제시하였다는 점에서 의의를 가지지만, 동시에 저작권자에게 EULA를 통하여 최초판매원칙의 적용을 배제시킬 수 있는 길을 열어주었다는 점에서 비판받고 있다. 최초판매원칙은 저작권자와 저작물의 소유자 간의 이해관계를 조정해 줄 뿐 만 아니라, 중고거래시장이나 대여시장의 형성, 공공도서관과 같은 대출시장 등을 통하여 저작물을 공중에게 안정적으로 제공함으로써 공중의 저작물에 대한 접근성을 보장해 주는 역할을 한다. 그러나 디지털 저작물의 경우 저작물의 디지털화, 배포방식의 변화 등으로 인하여 고전적 의미의 최초판매원칙의 적용가능성 여부가 불분명해지게 되었으며, 동원칙이 저작권정책에 끼치는 역할을 퇴색시키기 시작했다. 저작권법의 목적을 실현하기 위한 중요한 장치로서 최초판매원칙이 디지털시대에도 적용될 수 있는가와 관련한 심도 깊은 논의가 필요한 시점이라 생각한다. 본고에서는 최근 이슈가 되고 있는 미국의 Vernor 판결을 검토함으로써 최초판매원칙이 소프트웨어와 같은 디지털 저작물에도 적용될 수 있는지, 적용된다면 그 근거는 무엇이며, 그러한 근거가 우리 입법 하에서도 타당한지 여부를 검토하고자 한다.
Abstract
Under the Copyright Act, the first sale of copyrighted works exhausts the distribution right of copyright holder. After the first sale of copies, transferee can resale, lend the copies without permission of copyright holder. This is the first sale doctrine. It plays an important role to strike the balance between copyright holder and public access to works-including owners of copies. As developing of digital technologies and networks, the first sale doctrine faced unexpected problems. Especially, the doctrine can not be easily adopted to digital works, -mostly softwares under the act because of the characters of digital formats. In addition, software developers prevent it from applying to their works through the EULA. Therefore, to clear whether the doctrine applies to digital works or not, it is important to understand the meaning of EULA. This essay studies the Vernor case to find out the court's attitudes on EULA. Then it criticizes the problems of the decisions and suggests the way to revive the first sale doctrine in digital era.
