There have been so many researches for the adoption of the Business Judgement Rule to Korea. It is, however, in the middle of controversies. It is especially because the judgements of the Korean Supreme Court seem to adopt the rule in a way. Strictly speaking, we don’t have the same rule in the judgements as it which is supported in US. To learn the difference of both judgements of Korea and US, I examine the two leading cases in Korea and one in Japan which is similar to Korea. After the examination of cases, I draw the key factors in the controversies. The core difference between Korea and US regarding the Business Judgement rule is not whether it is used in courts or not, but is the details, the functions and the scope of the Duty of Care. The Korean Judgements have used the procedural and substantive criteria in which directors should perform their duties of care to evaluate their business judgements. Conclusively we need to extract the different US requirements of the rule to the procedural and substantive criteria to evaluate the directors’ business judgement in Korea.
