사업자의 정보제공의무에 관한 비교법적 검토 - 유럽공통매매법(안)과 개정 독일민법을 중심으로 -

초록

본고에서는 유럽공통매매법(안)과 개정 독일민법상 사업자의 정보제공의무와 관련하여 우리민법 및 소비자보호와 관련한 법률들과 비교․검토하고, 우리법에 시사하는 바를 고찰하였다. 유럽연합 소비자권리지침이 독일민법으로 전환되면서 소비자계약, 즉 방문판매계약 및 통신판매계약과 관련한 부분이 상당부분 개정되어 2014년 6월부터 시행되고 있으며, 그에 앞서 통일적인 유럽계약법의 제정을 목적으로 2011년 10월에 CESL이 공표되었다. 사업자의 정보제공의무는 소비자의 철회권과 함께 소비자권의 보장을 위한 핵심적 요소로써, 이에 대한 최근의 두 입법논의의 검토는 우리의 소비자계약법의 발전논의에도 매우 중요하며, 특히 다음과 같은 내용에 주목하여야 한다. 우선 계약자유의 실질적 보장을 위해서 소비자는 계약체결 전에 사업자로 하여금 정확하고 충분한 정보를 제공받아야 한다. CESL과 개정 독일민법은 정보내용과 그 범위를 표준화 내지 일반화하고 있는데, 사업자에게 일반적 정보제공의무를 부여하기 위하여 계약의 성질, 목적물의 본질적 특성, 비용 및 당사자에 관한 정보 등 일반적인 제한기준을 설정함과 동시에 일상거래에서의 적용배제 등의 요건을 두고 있다. 선언적 문구에 그치는 우리의 소비자법상 정보제공의무에 대한 규정에 이와 같은 제한요건 내지 설정기준을 마련하여 일반적 정보제공의무를 좀 더 구체화할 필요가 있다. 그리고 우리의 소비자법은 계약의 효력적인 측면에서 정보제공의무위반에 대한 구제수단이 존재하지 않는다. 단지 소비자의 ‘보호’를 위한 행정규제중심사고의 반영으로 정보제공의무위반시 행정적 제재조치만 정하고 있을 뿐이다. CESL과 개정 독일민법에는 정보제공의무에 관한 규정과 함께 그 위무위반시 손해배상책임을 별도로 정하고 있으며, 소비자의 사전 동의를 구하지 않은 추가적 비용은 사업자 스스로가 부담해야 하는 청구제한에 대한 규정도 나타나는데, 이는 우리의 소비자계약법에서도 고려할 필요가 있다.

Abstract

This paper compares and reviews the Civil Law and Law for Consumer Protection in Korea as regards duty to provide information in the Common European Sales Law(CESL) and revised German Civil Code(BGB) and consider implications for Korea. CESL was declared to unify European Contract Law on October 2011 and Consumer contract such as door-to-door sales contract and distance contract is revised considerably and taken effect since June 2014 as Directive on consumer rights of European Union was turned into revised BGB. As the duty to provide information of trader is a fundamental substance to eusure consumer right as well the right to withdraw of consumer, the latest review of two legislation is very important for discussion of Consumer Contract Law in Korea. Especially, we should focus on below contents. First of all, consumer must be provided with accurate and sufficient information from trader to ensure freedom of contract before the conclusion of a contract. The content and scope for information are standardized in CESL and revised BGB. To obligate duty to provide information to trader, a standard including characteristics of the contract, fundamental Characteristics of the object, cost and information on the party concerned is set up and condition for excluding day-to-day transaction is imposed. In the light of non-bindng Consumer law in Korea, we must establish condition which limits and concludes contract for duty to provide information and specify general duty to provide information. In addition, there aren’t law remedies for breach of duty to provide information in terms of validity of contract in Korea. There are just administrative measures in case of breach of duty. On the other hand, regulation on duty to provide information and liability for damages are separated in CESL and revised BGB. And traders must bear extra cost if they don’t ask for prior consent to consumer. We need to consider this regulation on limitation in claim for Consumer Contract Law in Korea.
