Abstract
Generally speaking, the Delaware Limited Liability Company Act (hereinafter, “LLC Act”) and the Delaware Revised Uniform Limited Partnership Act (hereinafter, “DRULPA”) are based upon and reflect a policy favoring very broad freedom of contract. Consistent with this principle, it is established that a limited liability company agreement and a limited partnership agreement may modify the default fiduciary duties that would otherwise be owed by a person that manages such business entities. Recent amendments to LLC Act and DRULPA have clarified that default fiduciary duties may be expanded, restricted or eliminated by provisions in a limited liability company agreement or a limited partnership agreement, provided however that the implied contractual covenant of good faith and fair dealing may not be eliminated. Accordingly, the implied contractual covenant of good faith and fair dealing is now of great significance to the drafters of limited liability company agreements and limited partnership agreements in Delaware, because, as a result of the recent amendments, Delaware law with respect to the implied contractual covenant of good faith and fair dealing has very important role in determining the practical extent to which the fiduciary or contractual duties of a fiduciary may be eliminated. This article studies on the practical extent of the fiduciary or contractual duties of members, managers and partners of limited liability companies and limited partnerships under Delaware law in order to have a clearer understanding of why Korea newly adopted limited liability companies and limited partnerships, and why their members, managers and partners have to the fiduciary duties.
