국제거래에서 CISG의 적용여부에 대해 다툼이 되는 몇 가지 사항에 대한 고찰

CISG(국제물품매매계약에 관한 유엔협약)는 모든 국제거래에 적용되는 것이 아니고, 국제물품매매계약에만 적용되는 데, CISG에서는 “물품” 또는 “매매”에 대한 정의조항이 없어 CISG의 적용범위에 대해 다툼이 되는 사항들이 있다. CISG 제2조에서는 적용이 배제되는 거래의 유형(또는 대상)을 규정하고 있으며, 제4조에서는 계약의 유효성 등에 적용되지 않는다고 규정하고 있고, 제5조에서는 인명피해에 대한 제조물책임에 적용되지 않는다고 규정하고 있다. 그리고 제6조에서는 당사자간 합의로 CISG의 전부 또는 일부를 배제할 수 있다고 규정하고 있다. CISG에서 명시한 적용배제사항에 대해서는 조문의 참조를 통해 쉽게 이해할 수 있지만, CISG의 적용여부가 불분명하여 다툼이 되는 사항들에 대해서는 검토가 필요하다. 물물교환은 물품과 물품을 교환하는 것으로 기본적으로 매매와는 차이가 있어 CISG의 적용범위가 아니라고 보는 견해도 있으나, CISG의 적용을 인정한 판례도 있다. 컴퓨터 소프트웨어가 물품에 해당되는지에 대해서도 다툼이 되고 있는 데, 일반적으로 표준소프트웨어는 CISG의 적용대상이라고 보며, 주문형 소프트웨어는 적용대상이 아니라고 보고 있다. 증명책임에 대해서도 다툼이 되고 있는 데, CISG의 적용대상이라고 본 판례가 많다. 분쟁해결합의의 유효성에 대해서도 다툼이 되고 있는데, CISG의 적용대상이라고 판단한 독일판례가 있다.
Abstract
The United Nations Convention on Contracts for the International Sale of Goods (“CISG”) applies to contracts of sale of goods between parties whose places of business are in different states and either both of those states are contracting states or the rules of private international law lead to the laws of a contracting state. CISG expressly lists several examples of issues with which it is not concerned. In addition, there are many other issues not covered by CISG. CISG, however, does not have any provision defining “goods” nor “sale”, which causes some disputes as to the scope of its application. There are some disputes as to whether barter trade is governed by CISG. The Ukrainian Tribunal of International Commercial Arbitration applied CISG to barter trade. Software is the one of the most ambiguous issues. Software in disk and standard software are generally considered goods within the meaning of goods in CISG, but there is a conflict over custom-made software or over a contract to develop software. Some courts have concluded that burden of proof come within the scope of CISG, but a German court concluded validity of settlement agreement is beyond the scope of CISG, but is governed by German domestic laws.
