Abstract
The Multilateral Convention to Implement Tax Treaty Related Measures to Prevent Base Erosion and Profit Shifting (“MLI”) is one of the outcomes of the OECD/G20 Project to tackle Base Erosion and Profit Shifting (“BEPS Project”). The BEPS Action Plan developed by the Project identified 15 actions to address the BEPS in a comprehensive manner. The Action 15 provided for an analysis of the possible development of a multilateral instrument to implement tax treaty related BEPS measures to enable jurisdictions that wish to do so to implement measures developed in the course of the work on BEPS and amend bilateral tax treaties. The MLI offers concrete solutions for governments to close the gaps in existing international tax rules by transposing results from the BEPS Project into bilateral tax treaties worldwide. It modifies the application of thousands of bilateral tax treaties concluded to eliminate double taxation. It also implements agreed minimum standards to counter treaty abuse and to improve dispute resolution mechanisms while providing flexibility to accommodate specific tax treaty policies. The MLI has structural limitations in that its provisions are complex, the synthesised text to supplement it is informal, and the participants are passive in acceptance of the MLI. In addition, there are inconsistencies between the two Contracting Parties, including legal gaps in applying the MLI to tax treaties to which it applies (“Covered Tax Agreements”). Korea accepts only the provisions of the MLI related to the minimum standards for the BEPS project, and has the attitude to consider the additional acceptance of the provisions reserved while observing the development of the MLI. In this regard, only the minimum provisions under the convention will affect bilateral tax treaties of Korea. Therefore, Korea needs to be more assertive in the application of the MLI. The tax treaties shall be amended separately, but the amendment shall be supplemented quickly and efficiently through the entry into force of the MLI. In addition, if Korea ratifies and enforces the convention, it is necessary to establish the difference between the PPT regulations to be applied to the Covered Tax Agreements and the general anti-avoidance rule in Korean domestic laws. Also, if Korea proceeds with the ratification process of the MLI, it will be necessary to consider whether the provisions of the convention, which Korea has reserved, will be additionally accepted.
