Abstract
The use of electronic payment systems are facilitating changes and development in commercial transaction. In korea, the “Electronic Promissory Note Act” was enacted on the 22th of March 2004 for the purpose of electronic payment system of B2B e-commerce. Therefore promissory notes came to be able to be issued and transferred in the cyber-space. But the “Electronic Promissory Note Act” does not harmonize with the current Bills and Checks Act. And the Act has some legislative deficiency. This article discusses the legal issues arising from the issuance, the endorsement and the exercise of holders' rights for the electronic promissory notes, comparing the parallel issues concerning the real promissory notes. This article seeks to describe the necessity of dematerializing promissory notes, and examine legal issues with regard to legislation of the “Electronic Promissory Note Act”. Also this article make researches in the Core Management Institute provided in the "Electronic Promissory Note Act". Through this article, several legal problems to be solved in relating to the "Electronic Promissory Note Act". And through this article, electronic bill of exchange and check which were omitted in the "Electronic Promissory Note Act" can be included in that unified law. And this article suggest some legal alternatives to protect promissory note parties and to facilitate an operation of the act.
