베트남 신⋅구 투자법 비교 - 미국법과의 일부 비교를 포함하여 -

초록

베트남은 1986년 도이머이(Đổi Mới) 정책을 채택한 이후 시장경제 도입 및 외국인투자 유치를 위하여 투자법제를 지속적으로 정비하였다. 2005년에는 내외국인 직접투자 규정을 통합한 최초의 투자법을 제정하였다. 그러나 동법은 외국투자자의 정의, 외국투자자와 동일한 적용을 받는 외국인투자기업의 범위, 투자등록 요건 등 불명확한 점을 다수 포함하고 있었으며, 이로 인하여 투자등록절차상 많은 문제점이 드러났다. 그 결과 2014년 이를 전면개정한 신투자법이 제정되었다. 신투자법은 구투자법의 여러 규정을 보다 명확히 하였다. 또한 조건부 투자분야의 상세목록을 제공하고 있으며, 국가포탈사이트를 통하여 외국인투자가 조건부로 허용되는 분야 및 관련 조건을 제공하고 있다. 신투자법은전반적으로 외국투자자에게 유리한 방향으로 제정되었다는 평가를 받는다. 현재 베트남은 우리나라의주요 투자처 및 경제적 파트너로 부상하였다. 그러나 신투자법에 대한 학술연구는 제한적인 상황이다. 본고가 베트남 투자법의 이론 및 실무를 이해하는데 도움이 되기를 기대한다.

Abstract

Since adopting the Doi Moi policy in 1986, Vietnam has consistently amended and enacted laws on investment to introduce a market economy and promote foreign investment. In 2005, Vietnam enacted the first investment law which integrated the rules that applied to foreign and domestic investors. However, the law included several unclear provisions such as the definition of foreign investors, the scope of foreign-invested enterprises which could enjoy the investment conditions applicable to domestic investors, and the scope of the enterprises which were required to carry out investment registration. Consequently, the law disclosed many problems in investment registration procedures. In 2014, a new investment law was enacted, which clarified many unclear parts of the old law. The new law also provided a detailed list of conditional sectors as well as investment conditions applicable to foreign investors through a national portal. In conclusion, the new investment law is more favorable to foreign investors. Vietnam has been positioned as Korea’s major economic partner and investment market. However, research on Vietnam’s new investment law has been limited in Korea. It is expected that this article will elucidate the theory and practice of Vietnam investment laws.
