외국의 공매도규제와 법적 시사점* －금융위기 이후 영국과 미국의 규제를 중심으로－

최근의 금융위기시 공매도는 주식시장이 존재하는 대부분의 국가에서 중요한 이슈가 되었다. 이 글에서는 금융위기 이후 영국과 미국의 공매도규제와 법적 시사점을 살펴 보았다. 그 내용으로 첫째, 공매도의 개념과 유형을 고찰하였다. 공매도의 개념은 국가마다 다르고, 심지어 개념을 정의하지 않고 있는 국가도 많음을 살펴 보고, 그 유형으로 차입공매도와 무차입공매도를 고찰하였다. 둘째, 공매도에 대한 규제적 접근방식에 대하여 살펴 보았는데, 영국과 미국이 금융위기에 대처하기 위하여 공매도규제를 어떤 방식으로 하였으며, 그 규제동향은 어떠하였는지를 고찰하였다. 셋째, 공매도의 효과에 대한 평가를 고찰하면서, 긍정적 효과와 부정적 효과를 살펴 보았고, 공매도에 대한 찬반논쟁과 공매도규제의 찬반논쟁에 관하여 고찰하였다. 또한, 우리나라의 공매도의 현황과 공매도규제의 역사, 우리 법상 공매도의 규제체계를 자본시장법과 거래소의 규정을 중심으로 고찰하고, 금융위기시에 발동된 영국과 미국의 긴급규칙이 주는 시사점을 중심으로 공매도를 활성화하고 투자자를 보호하기 위해 공매도를 규제해야 한다는 관점에서 우리 법상의 개선과제를 모색하였다. 특히 현행 공매도 규제체계의 문제점을 지적하고 공매도규제의 접근방식을 개선할 필요성이 있음을 강조하였다. 나아가 업틱 룰, 서킷 브레이커, 정보공시와 투명성이 공매도규제의 한 수단이 되고 있음을 고찰하였다.
Abstract
Recently, Short Selling is becoming important issues in most countries. In Korea, Short Selling is not developed yet in Capital Market. This article examines the recent regulatory developments with regard to short selling in UK and USA. The author begin with a comprehensive complication of emergency restrictions on short selling adopted in the recent crisis. Short Selling is a practice that has existed for many years and is regarded as a valuable activity to aid price discovery by the market. This article examines the definition and kinds of short selling. There are two short selling, in other words covered short selling and naked short selling. And, this article examines the approach to the regulation and trend of short selling in UK and USA. In addition to, this article examines the arguments for and against short selling and its regulation. And, this article examines the situation and some problems of short selling, and focus on some proposals for improvement of short selling in Korea. Especially, we have to improve short selling regulation approach. up-tick rule, circuit breaker, information disclosure and transparency to protect market and investors.
