많은 선진 각국의 증권거래소가 자기 거래소에 상장을 하고 있고 또한 이를 추진하는 상황이다. 이미 주식회사화한 증권선물거래소가 자신의 거래소에 상장하게 되는 소위 자기상장의 경우, 이미 상장의 신청, 심사 및 허가단계로부터 상장이후에 이르기까지 다양한 법적 문제, 특히 이해상충문제가 발생하게 된다. 증권시장의 개설·운영주체 및 자율규제기관로서의 지위와 다른 한편 거래소에 유가증권을 상장한 발행회사로서의 지위라는 상반되는 이해관계가 충돌할 가능성이 생기게 된다. 이러한 이해상충문제는 상장단계로부터 상장이후의 상장회사에 대한 규제에 이르는 전체 체계에 걸쳐 제기될 수밖에 없다. 본고는 우선 자기상장이 법리적으로 허용되는 것인지부터 검토한다. 이에 관하여는 상장신청자로서의 거래소의 법적 지위(발행회사)와 상장심사 및 허가를 하는 자율규제기구로서의 거래소의 법적 지위가 엄격하게 구분된다는 점에서 거래소의 자기상장은 법리적으로 큰 모순이 되는 것은 아니다. 한편 자기상장의 허용성 여부에 관계없이 자기상장의 이해상충문제는 사전적으로 예방 및 해소방안이 마련될 필요가 있다. 우선 상장심사 및 허가절차상 이해상충방지를 위하여 상장규정뿐만 아니라 실제 심사 및 허가절차에 있어 편파성 방지를 위하여 사후감독체계 등 제도적 장치가 무엇인지 몇 가지 입법론적 제안을 시도하고자 한다. 또한 자율규제기관으로서의 지위와 피규제자인 상장회사로서의 지위 사이의 이해상충문제를 해소하기 위해 어떠한 제도적 기초가 마련되어야 하는지 그리고 특히 시장감시위원회의 구조적 및 운용상의 독립성을 위한 방안을 어떻게 설계할 것인지에 관하여도 비교법적 검토를 수행하였다. 한편 거래소의 상장이후의 검토과제로서 경영권 보호장치에 대한 방안도 제시하고자 한다.
Abstract
This Paper explores the expected legal problems in listing stock exchange. Stock Exchanges transformed into demutualized company are now pursuing the listing at the exchange as other foreign stock exchange already listed at own exchange. In case of the so-called self-listing, the exchanges could be confronted with various conflicts of interest. The conflicts of interest occur not only in taking the process of application and examination for self-listing but also in taking any actions and measures of the exchange as self regulatory organization against the self-listed exchange company. The exchange has then two legal status; exercising legal competences as self regulatory organization (SRO) on the one hand, and being regulated as listed company by the own entity on the other hand. These two contradictory legal positions of the exchange lead to the conflicts of interest. This paper begins with the question of every legal theoretical aspects whether the self-listing itself can be accepted at all. In order to avoid the conflicts in the process of listing, it is necessary that a special independent organization, which is independent from existing departments inside the exchange, should be involved into the listing process for an independent decision making. This paper suggests the strengthening of the structural and functional independence of the market supervisory body inside the exchange to deal with conflicts problems after self-listing.
