Abstract
Exchanges are frontline regulators in the algorithmic trading. From the logistical standpoint, exchanges stand in closest physical proximity with the sharpest view of mistakes, mishaps, and manipulation. This closeness means that they should see information first and ahead of any public regulators. Exchanges also have deep reserves of information on the traders admitted to the venue. They should possess a historical reserve of past trading and patterns of infractions. This perspective makes exchanges uniquely placed to control the spread of risks in the market through tools like trading halts and circuit breakers. However, as much as exchanges are essential private supervisors, they are also deeply embedded within the profit structure underpinning algorithmic trading. Now that nearly all exchanges have transformed from being non-profit, member-owned organizations to for-profit, shareholder-owned, demutualized entities that outsource most of their governmental duties, an overhaul of the self regulatory organization system and the immunity that comes with it may be in order. The exchange must play an active role in market supervision while controlling the issues of conflict of interest that may arise in performing dual functions. However, there is no provision for exemption from liability that may arise in the process of actively carrying out tasks that emphasize public regulators. Korea stock exchanges should enjoy immunity from liability for their regulatory activities as self regulatory organization. This would serve to better incentivize stock exchanges to take proper precautionary measures with respect to technological systems used to facilitate transactions, which in turn would protect investors from undue losses.
