블록체인 기술을 기반으로 한 스마트계약의 법적 쟁점 연구 -국제사법 쟁점을 중심으로-

블록체인 기술은 인터넷이 등장했을 때처럼 4차 산업의 원동력이 될 수 있다는 과학기술계의 논의가 활발해지면서 최근 급속히 관심을 받고 있다. 블록체인은 비트코인의 원천기술로서 등장했지만, 그 기술은 가상통화에 특화된 것이 아니라 다양한 분야에 응용 가능한 것이다. 과거 인터넷이 그랬던 것처럼 블록체인은 앞으로 사회와 산업의 구조를 크게 변화시킬 가능성이 있다고도 알려져 있다. 블록체인 기술은 상호 분산원장을 이용하여 기존의 중앙 집중형 네트워크 기반의 인프라를 뛰어 넘는 높은 확장성, 보안성, 투명성 등을 보장할 수 있다고 알려지고 있다. 스마트 계약은 블록체인 기술을 기반으로 계약조건을 기록하고 조건이 충족됐을 경우 자동으로 계약이 실행되게 하는 프로그램으로서 금융 거래 등 다양한 계약에 활용할 수 있다. 스마트계약의 법적 지위는 아직 명확하지 규정되지 않지만 스마트계약의 디지털 코드와 별도로 독립적으로 계약 당사자간 권리와 의무관계를 형성하게 되므로 기존의 계약의 테두리 내에서 해석하는 것이 바람직할 것이다. 스마트 계약 등이 국제거래에서 사용되어 분쟁이 발생한 경우 국제재판관할과 준거법의 결정이 문제될 것이다. 스마트 계약은 그 이행이 자동화되었다고 하더라도 법적 효과를 가지기 위해서는 당사자 의사가 필요하고 스마트계약의 성립과정에서 청약과 승낙이 존재하므로 계약으로 볼 수 있을 것이다. IT 전문가들은 빠른 시간 내에 4차 산업혁명이 진행될 것이고 스마트계약을 이용한 국제거래가 많아질 것이라고 예측한다. 그로 인해 국제분쟁도 증가할 것이 분명하다. 국제적으로 아직까지 스마트계약과 블록체인에 대한 국제분쟁이 발생하였을 경우 국제적으로 통일법의 제정 등 특별한 해결방법은 없으므로 계약당사자간 국제재판관할과 준거법에 대한 합의가 없다면 기존의 국제사법 규정으로 해결하여 할 것이다.
Abstract
Recently, there has been a growing debate in the scientific community that the blockchain technology can be the driving force of the 4th industry as the Internet appeared. Blockchain emerged as a source technology of bitcoin, but the technology is not only specialized in virtual currency but is applicable to a variety of areas, also. As the Internet did in the past, the blockchain is known to have the potential to dramatically change the structure of society and industry in the future. Blockchain technology is said to be able to ensure high scalability, security, and transparency beyond existing centralized network-based infrastructures by using mutually distributed ledger technology. Smart contract based on blockchain technology is a kind of computer program which automatically executed if conditions are met. It can be utilized for a variety of contracts such as financial transactions, goods contracts and service contracts. Although the legal status of smart contracts is not yet clearly defined, we could interpret them within the framework of existing contract law because they would create the rights and obligations of the contract parties apart from the digital codes of smart contracts. In the event of disputes regarding smart contracts in international transactions, the decision of the International Jurisdiction and the choice of law will be important. Smart contracts could be viewed as traditional contracts because, even if their performance is automated. since they require the intention of the parties to have legal effect and there is a offer and acceptance of the parties. IT professionals said that we can soon see the 4th industrial revolution and there will be more international transactions using smart contracts. It will certainly increase international conflicts. If international conflicts over smart contracts and block chains have occurred internationally, there are no special solutions such as the enactment of a unification law of the world. If there is no agreement of jurisdiction and applicable law between the parties, the existing international private law can be solution to those problems.
