선주책임상호보험은 선박의 운항과 관련하여 발생하는 선박소유자의 다양한 배상책임을 보상하는 책임보험이다. 그런데 현대 사회에서 선박소유자가 직면하는 배상책임의 규모가 커져 감에 따라 그 중요성이 부각됨에도 불구하고 상법은 선주책임상호보험에 대해 특별한 규정을 두고 있지 아니하다. 또한, 제3자가 선박소유자가 아닌 선주책임상호보험을 상대로 직접청구권을 행사하는 경우 제3자의 직접청구권이 인정될 것인가 여부에 대해서는 논쟁이 존재한다. 본 논문에서는 먼저 선주책임상호보험의 의의, 역사 및 특징을 일별하고 선주책임상호보험약관의 선지급조항을 구체적으로 살펴본다. 다음으로, 선지급조항과 제3자의 직접청구권의 관계를 영국법의 입장에서 고찰한 후 보험약관의 준거법이 영국법인 경우와 한국법인 경우를 구분하여 각각의 경우에 있어 제3자가 법정지인 우리나라에서 선주책임상호보험조합을 상대로 직접청구권을 행사하면 직접청구권이 인정되는지 여부를 살펴보기로 한다. 마지막으로, 보험약관의 준거법이 한국법인 경우에 있어 제3자의 직접청구권과 관련하여 발생하는 문제점을 파악하고 이를 개선하기 위한 입법론을 제시하기로 한다.
Abstract
Protection & Indemnity Insurance is the liability insurance which covers the shipowners’ various liabilities in respect of the operation of ship. However, the Korean Commercial Act does not have any articles concerning the Protection & Indemnity Insurance, despite the fact it becomes more important, as the liabilities that the shipowners would face in the modern society have been increased. In addition, there is a debate as to whether the direct action by the third party can be recognized as valid in the case that the third party claims directly against the Protection & Indemnity Association other than the shipowners. In this article, I will get the glimpse of the concept, history and characteristics of the Protection & Indemnity Insurance and examine examples of the pay to be paid clause in the Protection & Indemnity Insurance terms. Then, after considering the relationship between the pay to be paid clause and the direct action by the third party from the perspective of English law, I will analyse whether the direct action by the third party against the Protection & Indemnity Association can be recognized in the Korean jurisdiction, respectively in the case that the Protection & Indemnity Insurance terms are governed by the English law and that those are governed by the Korean law. Lastly, identifying the problem with regard to the direct action by the third party in case of the Protection & Indemnity Insurance terms governed by the Korean law, I will present the de lege ferenda for improvement.
