항해용선계약에서 하역업무는 통상 용선자가 부담하므로 선주가 하역기간을 통제할 수 없는 반면, 하역이 지연되면 선주는 그 기간만큼 손해를 보게 되므로 이를 방지하기 위해 정박기간에 관한 조항을 둔다. 정박기간은 선적 및 양륙을 위해 용선자에게 허용된 기간으로 용선자는 운임을 지불한데 대한 대가로 약정된 정박기간 동안에 자유로이 선적 및 양륙작업을 수행할 수 있으며 약정된 정박기간을 초과하는 경우에는 초과일수에 대하여 미리 약정된 손해배상금을 체선료로 지불하게 된다. 이렇듯 선주와 용선자에게 미치는 재정적인 영향을 고려할 때 정박기간의 개시시점을 명확히 하는 것이 중요하다. 본 논문에서는 정박기간이 개시하기 위한 일반적인 요건과 항만의 적체나 기후, 그리고 자연적인 요인으로 인한 지연의 위험을 전가하기 위해 용선계약서에 삽입되는 조항들의 효력에 대하여 고찰한다.
Abstract
In the voyage charterparty, it is difficult for the owner to control loading and discharging as they are usually being carried by charterer. Thus, laytime provisions are customary entered into the voyage charterparty to prevent from being delayed during the periods of loading. It is free days for loading and discharging allowed to the charterer which was actually paid for in the freight. If the loading or discharging is still not completed, then the owner can claim for demurrage as a liquidate damages for certain periods. Therefore, commencement of laytime has greate importance in the voyage charterparty when we consider the financial influence on the owner and charterer. This article will investigate the general requirements for the commencement of laytime and special clauses relevant to arriving at the destination to shifting risk of delay.
