Abstract
Under the Korean Commercial Act, shareholders have approval rights over executive compensation plan. In practice, the shareholder approval is confined to total amount of pay before implementation. Commentators pointed out that the magnitude of total amount is inordinate and shareholders have no role in specific remuneration of executives. The Say on Pay voting in the U.S could contribute to resolve these problems. This Article concluded that it would be appropriate to introduce Say on Pay vote with the current system. Mandatory Say on Pay in the U.S is non-binding votes on general plans of compensation of previous year, as it may not be construed as overruling a decision by board of directors. The subject of vote is a compensation discussion and analysis (CD&A) of named executive officers and comprehensive compensation plans which have been included in proxy statement. This Article examines the Say on Pay voting of Apple, Microsoft, Netflix, Alphabet and so on, finding that company has modified plans after Say on Pay failure or obtaining lower support, even though it is a advisory vote. Many companies were sensitive to the result of a shareholder vote. Of course, the extent that company reflects the feedback by shareholders will vary depending on the firms. Mandatory disclosure of individual manager's compensation and its element can help shareholders make well-informed decisions over executive compensation. Companies are expected to engage with shareholders based on the voting results. These measures can make a positive impact on corporate governance of executive compensation. Based on this finding, this Article proposes a Say on Pay voting to address a process of deciding compensation plans and it could mitigate the conflict between management and shareholders.
