Abstract

Under the U.S. law, if an instrument is not negotiable, it is a mere contract and Holder in Due Course status is impossible. As a result a hold of non-negotiable instrument is subject to the claims and defenses of prior parties. To be negotiable, an instrument must be (a) in writing; (b) be signed by the maker or drawer; (c) contain an unconditional promise or order to pay a sum certain in money and no other promise, order, obligation or power given by the maker or drawer except as authorized by the UCC; (d) be payable on demand or at a definite time; and (e) be payable to order or to bearer.
