기업의 환경(Environment), 사회(Social), 지배구조(Governance) 등의 ESG요소에 대한 활동은 자연자본 등 인류공동의 자산과 다양한 이해관계자 등과 밀접한 상호관계를 갖는다. 그리하여 전 세계는 ESG요소의 순기능에 필요한 공시제도 등을 시행·발전시켜 기업활동을 촉진시키고, 자본조달을 원활하게 하기 위하여 많은 노력을 기울이고 있다. 세계 각국이 기업의 ESG정보에 관한 공시나 평가에 노력을 기울이는 것은 ESG활동 자체를 촉진시키기 위함이 아니라, 재무적 성과와의 正(+)의 관계를 형성할 수 있는 구조를 창출하는 데에 그 목적이 있는 것으로 보인다. 이러한 추세적 흐름은 당분간 되돌릴 수 없는 것이고 더욱 확대될 것으로 예상된다. 그러므로 우리나라 역시 이에 대한 대응을 보다 구체적이고 세밀하게 전개할 필요성이 있다. 그리하여 이 글에서는 오래전부터 기업의 ESG정보공시제도를 시행·발전시키고 있는 미국의 규정S-K(Regulation S-K)를 축으로 하는 근거 법제 및 영국의 2006년 회사법(The Company Act 2006)을 핵심으로 하는 관련 법제에 대하여 분석을 하고, 우리나라의 개선방안을 제시하고 있다.
Abstract
Activities by companies to meet environment, social, and governance (ESG) criteria have a close relationship with their corporate capital, human assets, and various stakeholders. Thus, throughout the world, great efforts are being made to promote corporate activities and facilitate capital raising activities by developing the disclosure system necessary for the overall functioning of the elements of ESG. The efforts of countries around the world for the disclosure and evaluation of information related to ESG are not intended to promote ESG activities themselves, but rather their purpose is to create a structure that can form a positive relationship with financial performance. This trend is irreversible for the time being and can be expected to expand further; therefore, Korea also needs to develop a more concrete and detailed response to this subject. On this basis, this article provides an analysis based on the basic legislation of Regulation S-K of the USA and the Company Act 2006 of the UK, where ESG information and disclosure systems have been implemented and developed for a long period, and presents an improvement plan for Korea.
