Abstract
Recent days, foreign countries are trying to introduce a product design and distribution obligation and grating financial supervisory bodies intervention powers. For example, in Australia, FSI has recommended introducing a principles - based regulatory obligation that would require product issuers and distributors to consider a range of factors when designing and distributing products. It is also recommended that ASIC be empowered to the product intervention powers. This would include, among other things, the ability to require providers to issue financial consumers or industry warnings, prevent marketing of a product to some types of consumer and/or ban or mandate particular product features. The power would be exercisable before any breach of law or regulation has occurred and where there is risk of significant consumer detriment. On the other hand, UK Financial Services Authority(the “FSA”) adopted already new approach to implement product intervention powers. FSA stated that its existing regulatory approach had not prevented a series of product failures leading to a significant financial consumer detriment. In the context of financial product, FCA focus on the early stage of product development and marketing. Because FCA believes that product design and decisions about how products will be developed and to whom they will be marketed play an important role in the consumer outcome. It states that the regulatory approach will be to look primarily at the product governance processes employed by firms. This measure represents a philosophical shift from a regime based on ensuring financial consumers have sufficient information to make informed investment choices, to one aimed at ensuring that the financial consumer environment is one that promotes good investment decisions. However the industry including product issuers and distributors were feeling great burden that it represents a move away from personal responsibility for investment decisions and towards a regime in which product providers bear the responsibility of ensuring products are targeted and purchased by financial consumers to whom they appropriate. Considering that there is a growing global trend towards this shift in regulatory thinking and methods, it is the time to consider adopting the product governance obligation and FSC’s current enforcement measures closely.
