본 연구는 벤처캐피탈 산업의 발전과정과 그 과정 속에서 벤처캐피탈의 경제적 역할이 어떻게 자리매김하고 진화되었는가를 살펴본다. 벤처캐피탈은 그 불확실성과 정보비 대칭으로 인해 일반 자본시장에서 자본의 조달이 어려운 젊은 기업들에게 자본을 지원해주는 역할을 한다. 그 과정에서 피투자 기업과 투자자와의 정보비대칭을 줄이고 선진경영기법을 전달하여 피투자 기업의 성공확률을 높이는 역할을 한다. 2000년 벤처거품이 사라진 후 최근 정부의 주도 아래 벤처캐피탈의 자금 조성이 조금씩 늘어나고 있다. 그러나, 우리나라의 중소기업 자본조달은 아직도 직접 금융보다는 간접 금융에 많이 의존하는 등 벤처캐피탈 역할의 확대가 요구되는 실정이다. 하지만, 벤처캐피탈 산업의 장기적인 발전을 위해서는 국내 벤처캐피탈의 투자 행태는 보다 선진될 필요가 있는 것으로 나타난다. 단계적 자금 지원과 신디케이트 투자와 같이 피투자 업체의 정보비대칭과 대리인 문제를 줄이기 위한 자금 지원 방식을 도입하고, 이사회의 구성원으로 참여하여 경영에 적극적으로 동참하도록 해야 할 것이다. 운영 방식을 이와 같이 선진화하여 벤처캐피탈 산업에 투자한 투자자들의 수익률을 상승시키는 것이 자본의 중개자로서의 본연의 역할을 더욱 발전시키기 위한 최선의 방법이라고 판단된다.
Abstract
This study examines the history of venture capital industry and analyzes its evolution process. Venture capital plays a role of financing young firms which face severe information asymmetry and uncertainty. By reducing information asymmetry and supporting management skills to such young firms, the likelihood of their success increases. After 2000, recently fund-rasing of venture capital have been increasing. However, still lots of small firms need venture capital financing. I argue that to develop the industry further, venture capital have to be more advanced in their financing behavior. They have to expand staged fund infusion process and monitor invested firms through active participation in board of directors. Such advances will reduce agency problems between venture firms and investors and will increase their rate of returns. Then, it becomes easy to raise funds from investors and venture capital will play their own role of fund brokers better.
