M&A 방식에 의한 중국 시장 진입: 현황과 전략적 시사점

본 논문은 최근 중국 M&A 시장에 대한 현황, 관련 법규 등을 알아보고, 한국 기업이 M&A 방식으로 중국 시장 진입 시 주의할 점과 시사점을 제시하고자 하였다. 이를 위해 중국 M&A시장의 활성화된 배경을 살펴보면, 중국이 국유기업의 구조조정의 가속화와 M&A 및 증권시장 관련 법규의 제·개정을 통해 제도 정비에 노력을 기울이고 있다. 이와 맞물려 중국시장의 진입경쟁 심화로 인해 다국적기업들의 신속진입의 필요성이 증대되었기 때문에 다국적기업들이 최근 들어 합작형태를 독자형태로 전환하거나 중국 측 지분을 인수하는 등 중국 M&A 시장이 빠르게 커지고 있음을 알 수 있다. 외국 다국적기업들은 중국 M&A을 단기적 이익 창출보다 장기적 이익을 실현하기 위한 전략적 시장으로 판단하고 경영방침을 수립하고 있다.중국의 M&A 관련 법규는 외국기업이 인수하려는 대상에 따라 관련 법규가 달리 적용되기 때문에 세심한 주의가 필요함을 알 수 있다. 최근 들어 새로운 M&A관련 법규가 계속 발표되고 있으나 아직까지 중국의 M&A시장은 정부행위와 시장메커니즘이 공존하는 시장으로서 많은 제약과 위험을 포함하고 있기 때문에 진입 시 함정에 빠지지 않도록 세심한 주의(due diligence)를 기울여야 할 것이다. 특히 M&A를 실행함에 있어 기업의 전략 목표·자원·문화·조직 적합성 검증과 중국 기업 평가 시 자산 평가와 인수가액산정상의 문제를 유념할 필요가 있고, 중국 정부의 특수한 다층적 관료적 장벽을 고려해야만 할 것이다.
Abstract
Merger and acquisition activity in China has been heating up in recent years, specially since China’s accession to the WTO. China is the world’s largest FDI recipient. Yet M&A accounts for only 10% to 14% of FDI flowing into China because until joined the WTO in 2001, national regulations facilitated foreign companies to form joint ventures or set up WFOEs, while discouraging M&A. But China has gradually loosened the regulations related to M&A in order to improve competitiveness and has made explicit moves to attract foreign M&A. Despite the appeal of M&A, some of M&A deals have often been failed. So, for successful M&A, companies thoroughly have to consider not only regulations and risk related to M&A but also company’s strategic·resource·cultural·organizational fit and problem of target company’s evaluation.
