지식재산의 경제적 가치를 활용한 자금조달수단으로써 지식재산담보금융에 관한 관심과 정책적 논의가 확대되고 있다. IP금융은 지분투자형(equity)와 부채형(debt)금융으로 구별될 수 있는데, 효율적인 금융생태계의 형성을 위해서는 다양한 형태의 금융기법을 포함하는 IP금융패키지가 제공되어야 한다. IP금융 관련하여 지식재산권의 유동적 특성 및 기술성, 권리성, 사업성 평가의 어려움과 불확실성으로 인하여 투자형 자금조달이 강조되기도 하나, 자금조달 비용 및 경영권 희석화의 문제 등으로 인하여 대출형 자금조달에 대한 수요도 제기되고 있다. IP담보대출이 증대되고 여기에 참여하는 금융기관이 확대될수록 IP담보금융에 제공되는 다양한 IP담보물의 효과적 관리에 대한 논의가 필요하게 된다. 은행과 같은 금융기관이 담보물로 제공된 지재권을 관리할 수 있는 조직과 역량이 상당히 제한적인 상황에서 담보신탁의 이용은 효과적인 IP담보금융 실현을 위한 방안 가운데 하나가 될 수 있다. 본 연구에서는 IP담보대출과 관련하여 신탁기구의 활용가능성을 담보신탁을 중심으로 담보권의 설정, 관리, 실행의 측면에서 시론적으로 고찰하고 IP금융의 성장과 관련된 신탁구조의 의미를 검토한다.
Abstract
With the advent of disruptive technology and innovation, intellectual property has emerged as an important asset for the growth of a company and economic development of a nation. Recently, IP financing has attracted significant attentions from IP and finance communities, and the relevant policy-makers have endeavored to develop IP finance ecosystem in Korea. In this context, companies and governments are paying attention to how to utilize the economic value of intellectual property for the purpose of financing. The mode of IP financing can be categorized as equity financing and debt financing. As a part of the IP financing package, IP secured loan is used to support for the growth of SMEs with IP assets. Considering the intangible nature of IPR provided as security, effective execution of IP secured loan transactions requires experts who can understand and manage the IP assets. From this perspective, this paper examines IP financing structure focusing on IP secured loan in connection with the establishment, management, enforcement of IP security interest and utilizing the trust structure. A security trustee with expertise in managing IP assets as security will contribute to efficiency of IP financing. This paper looks into the institutional aspects and the effects of adopting security trust structure in connection with IP secured financing.
