Abstract

One example of introducing information technology to commercial law is electronic shareholders' meeting via electronic ballot system of shareholders' meeting. Electronic ballot system of shareholders' meeting is received as one of the means to solve some problems caused by shareholder's indifference to corporate action. The definition of electronic ballot system in shareholders' meeting is the system by which shareholders can participate in ballot of shareholders' meeting electronically instead of written ballot or being present in real shareholders' meeting. Electronic shareholders' meeting which was introduced already by Delaware State is more developed system and has far more problems than electronic ballot system of shareholders' meeting. Because there are no present shareholders' meeting, it needs unpartial standard of the progress of proceedings, effective system to check shareholder and count the ballot and stable network to deliver shareholder's intention. The electronic shareholders' meeting is necessary to our commercial law but we should be very prudent in deciding when we introduce that to our system.
