선하증권은 국제무역거래에 있어 송하인에게 대금 지급 보증과 수하인에게는 운송물의 인도 보증을 충족시키는 중요한 서류 중의 하나로 역할을 해 오고 있다. 하지만 국제운송환경의 변화 및 헤이그-비스비 규칙 체제하에서의 한계로 인하여 로테르담 규칙이 제정되면서 해상물건운송에 대한 법적 체계를 재구성하게 되었다. 로테르담 규칙은 해상물건운송을 포함한 문전운송(door-to- door)인 복합운송계약하에서의 운송인, 송하인 및 수하인의 권리와 의무를 규정하는 체계적이고 통일적인 법적 체계를 구성하고 있으며, 기존의 국제해상운송규칙의 범위를 새롭게 확대시키고 있다. 특히 해상운송규정에 있어 헤이그, 헤이그-비스비 및 함부르크 규칙의 많은 조항을 대체하고 현실에 맞게 개정하고 있다. 특히 로테르담 규칙의 가장 큰 변화 중의 하나는 실무에서 사용하고 있는 선하증권, 해상화물운송장 및 기타 운송증서라는 용어를 사용하지 않으며, 운송증권이라는 용어로 대체하고, 헤이그-비스비 규칙 및 함부르크 규칙에서 제기되는 선하증권 발행 및 효력과 관련된 문제에 대해 본질적인 해결을 시도하고 있다. 그러한 의미에서 이 논문에서는 현재 해상운송서류, 특히 선하증권과 관련하여 새로운 체제에서 어떻게 조화를 이루고 있으며, 기존의 기능 및 역할에 대한 새로운 변화에 대하여 조망해 보고자 한다. 이에 대한 내용을 운송증권에서의 선하증권의 변화에 초점을 맞추어 살펴보고자 한다.
Abstract
A bill of lading is a document issued by a carrier which details a shipment of merchandise and gives title of that shipment to a specified party. Bills of lading are one of important documents used in international trade to help guarantee that exporters receive payment and importers receive merchandise. According to the change of the environment of international trade and the limitation of the Hague-Visby regime, the "Rotterdam Rules", formally the United Nations Convention on Contracts for the International Carriage of Goods Wholly or Partly by Sea is a treaty comprising international rules that revises the legal and political framework for maritime carriage of goods. The convention establishes a modern, comprehensive, uniform legal regime governing the rights and obligations of shippers, carriers and consignees under a contract for door-to-door shipments that involve international sea transport. The aim of the convention is to extend and modernize international rules already in existence and achieve uniformity of admiralty law in the field of maritime carriage, updating and/or replacing many provisions in the Hague Rules, Hague-Visby Rules and Hamburg Rules. Especially one of the striking features of the Rotterdam Rules is that they do not refer to bills of lading, sea waybills, or any other of type of document used in practice. The generic term 'transport document' is used instead, qualified in several ways. This constitutes a substantial change from the Hague-Visby Rules, the application of which hinges on the issue of a bill of lading, and from the Hamburg Rules which only regulate documentary issues with regard to bills of lading. This paper examines how existing maritime transport documentation will fit into the system laid out in the new Rules and what the consequences of the choice of transport document are under the Rules. It attempts to clarify to what extent the Rotterdam Rules will bring international harmonization of issues relating to transport documents.
