초록

최근 우리나라의 기간산업에 대한 외국자본의 M&A 시도와 그에 대한 우려가 크게 증가한 가운데 정치권과 재계를 중심으로 유럽의 황금주나 미국의 엑슨-플로리오법과 같은 강력한 M&A 방지 장치에 대한 요구가 거세지고 있다. 실제 엑슨-플로리오법과 같은 외국자본규제 법안이 여러 건 국회에 계류 중인 가운데, 정부에서는 외국자본 유치 장애에 대한 우려, 일부 시민단체에서는 재벌개혁 지장에 대한 우려로 반대 입장도 강경하다.이 논문은 이와 같은 외국자본 규제에 대한 모델이 되고 있는 미국의 엑슨-플로리오법에 대한 상세한 소개와 향후 관련 규제 도입시 시사점을 도출하고자 작성되었다. 특히 현재 외국자본 규제에 대한 찬반 양측에서 인용되는 엑슨-플로리오법이 각 진영에 유리한 부분만 인용되는 측면이 있는 점을 감안하여, 의견보다는 사실에 치중하여 정확한 실체를 전달하고자 중립적 입장에서 서술하였다.글의 전개는, 엑슨-플로리오법을 설명하기에 앞서 우선 기간산업의 정의 내지 범위를 살펴보고 이러한 기간산업 보호를 위한 미국의 전반적인 규제 현황을 살펴보았다. 다음으로 엑슨-플로리오법의 정확한 입법취지를 살펴보기 위해 제정 경과를 상세히 서술하고 동법의 조문 내용을 상술하였다. 그리고 이 법을 집행하는 대미외국인투자위원회(CFIUS)의 구성과 운용현황을 서술한 다음, 최근 미국 내에서 고조되고 있는 반외자 정서의 도화선이 된 사건들과 그 후의 엑슨-플로리오법의 집행환경 변화를 조명하였다. 마지막으로 우리나라에서 엑슨-플로리오법과 같은 외국자본 규제법을 입안할 때 고려해야 할 사항들을 엑슨-플로리오법의 발전 과정에서의 집중 논의되었던 쟁점들을 중심으로 제시하였다.이 쟁점 내지 고려사항들은 다음과 같다. 첫째, 규제의 보호법익을 국가안보에 국한할 것인지 아니면 국민경제로 할 것인지 여부, 둘째, 규제의 성격을 대체적 조치로 할 것인지, 아니면 다른 규제와 중복될 수 있는 예비적 조치로 할 것인지 여부, 셋째, 국가의 보호가 필요한 기간산업 내지 기업의 정의와 범위, 넷째, 보호의 정도, 마지막으로 다섯째, 포괄적 외국자본 규제의 수행 주체의 문제 등이다.

Abstract

Recently, there have been growing concerns against foreign investments trying to takeover national basic industries in Korea. This article introduces the Exon-Florio act of the United States, which is allegedly one of the best models for the regulation of foreign investments.First, to begin with, the article discusses the concepts of, and the differences among, “critical infrastructure”, “critical industry”, and “essential commerce”, which have very similar meaning with the basic industries. It also gives an outline of the foreign investment regulation in those areas. Second, the article traces a detailed history of the legislation of the Act to exactly know the legislative intent. Then, it gives a full account of the contents of the Exon-Florio provision. Next, the study introduces the structure and operation of the actual manager of the Exon-Florio act, the “Committee on Foreign Investment in the US(CFIUS)” and the recent prominent M&A cases having given great effects on the Act. Finally, the paper presents some suggestive issues which have been hotly debated in the history of the Provision in the US for the similar legislation in Korea.The issues are as follows: First, whether the new regulation should protect “national economy” or “essential commerce” beyond the traditional “national security”; Second, whether the regulation should be alternative or duplicative; Third, the concept and the scope of the national basic industries; Fourth, the scope of the protection by the regulation; And last, the actual manager of the new regulation for foreign investments.
