Abstract
In December 2022, the Korean government announced a Legislative Proposal introducing digital content contracts into the Civil Code. This Proposal constitute the digital product supply contract as an independent type of contract between general people as a party under the Korean Civil Code. However, the Proposal not only contradicts the compositional system of the Civil Code centered on the debtor’s performance, but also the Proposal, which does not have any provisions on the scope of application for harmonization with other typical contracts, inevitably causes great confusion in relation to the scope of application. In addition, the contents of the Proposal have accommodated the contents of the EU guidelines as consumer contracts or the German Civil Code, and contain many regulations that cannot be applied to the general contract type as they are. Regarding defects, the Proposal present criteria for ‘functions and qualities that are reasonably expected.’ However, this standard is not only very abstract, but also very narrow in scope, making it difficult to accommodate various types of problems that digital products may have. In terms of the transaction concept, descriptions that can materialize reasonable expectations should be included, and compatibility, interoperability, and lack of integration into the digital environment of the user, in addition to function and quality, should be presented as criteria for defects. Digital products require a high level of professional knowledge in determining their defects, so it seems very irresponsible to place the burden of proof on the consumer on the defect. It is reasonable to require the trader to prove that there are no defects for defects that occur at least one year after the digital product is supplied. Lastly, regarding updates, a provision should be added that allows the consumer to voluntarily update by giving the trader the opportunity to be exempted from liability and giving users the duty to provide information on updates to guarantee the consumer the right to choose.
