Abstract

In China, a market for cross-border M&A has not existed until recently, because there was a monopoly of state-own enterprises, and limit to activities of free trade in the securities market. Since the accession to the WTO in late 2002, the pace of foreign direct investment FDI through cross-border M&A has raised markedly despite ongoing concerns regarding profitability of China state-own enterprises, unrest and difficulties in the acquisition process. Recently, in order to take advantage of cross-border M&A benefits, the China government need to improve the environment for FDI, formulate related rules of M&A. In this article, we tried to analyze related rules of M&A and review some legal aspects of M＆A.
