Abstract

This article is on corporate division in American Corporation Law. In American Corporation Law, corporate division can be understood as a two-step transaction, of which the first step is for the transferring corporation to transfer the assets to the transferred corporation in return for the latter’s shares, and the second step is for the former to distribute the latter’s by way of dividends, redemption or liquidation. The first step corresponds to ‘Muljeok Bunhal’, and the second step corresponds to ‘Injeok Bunhal’ in Korean Law. Compared to Korean equivalents, the merit of American corporate division system is as follows: Recognizing the second step transaction as the extension of the first step transaction, once the first step transaction done, the second step transaction can be done pro re nata; By distributing some portion of acquired shares and reserving the remaining shares, the intermediate form between ‘Muljeok Bunhal’ and ‘Injeok Bunhal’ is possible; In some cases corporate division can be done just by resolution of board of directors; Non-pro rata corporate division can be easily done and that appraisal right of dissenting shareholders is broadly acknowledged. On the contrary there are several drawbacks. In the first place, the legal stability is quite low because protective devices for the shareholders and the creditors are not clear and not sufficiently equipped. Also that almost every states do not have corporate division as a separate legislative device in their corporation law increases the uncertainty. Also, in a specific case, it may be unclear whether shareholders meeting is needed, the effect of corporate division may be reversed, and the creditor may have any remedies. These drawbacks can be fatal compared to continental corporate division systems such as that of Korean law. The process of transferring asset and debt is complex too for the effect of universal succession is not given. In the past, the prevalent opinion of Korean Scholars is that American mode of corporate division is not allowed in Korean Corporation Law since Korean Corporation Law does not acknowledge dividends in kind. However, by the revision of Korean Commercial Code in 2011, dividends in kind are made possible. The problem is that if American mode of corporate division is done following the revision, the protection of shareholders and creditors are threatened which was secured by existing corporate division system in Korean law. Therefore, the de facto corporate division by American mode of corporate division which has almost the same legal effect as existing corporate division under Korean law should be regulated so that it may not be used to bypass the existing system.
