초록

Abstract

In these days, the institutional investors have played the particular role in securities market. They are attracted to activism in corporate governance. Since the institutional investors often have large holdings in individual firms, selling off such holdings have the downward pressure on share price. So it discourages them from sudden divestment of poor performers. For investment trusts and mutual funds, the pursuit of increased investor value compels working within rather than divesting from poor performers. Indirect investors can get a profitable result through long-term improvements in financial performance and corporate governance. The Indirect Investment Asset Management Business Act provides that an asset management company or an investment company may exercise voting rights of stocks belonging to the indirect investment property immediately. And it requires the company to disclose the actual voting. In this paper, I make an analysis of the provisions about the exercise of voting rights, the restrictions on exercising voting rights and the disclosure of voting. And I try to evaluate the practices about the voting, and to suggest its problems and developments.
