Abstract
This article touches the recent plan of the Ministry of Justice to introduce the Limited Partnership(LP) and the Limited Liability Company(LLC) as new type of business association in the Commercial Code. In this study is lightened why the entrepreneur in korea prefer stock corporation to other business association forms. Despite many analyses there is no plausible reason to assist the excessive preference to the stock corporation in the landscape of forming business associations in Korea. As result of intra-national and intra-typical comparison in this study is also to conclude that it is neither necessary nor right, to introduce LP and LLC in the Commercial Code. The LP is almost identical with the existing Limited Partnership Company(LPC) in the Commercial Code except the possibility of the membership of a corporation in the LP. This exceptional special feature of the LP which is the important goal for introduction of the LP can be fully achieved also in the LPC by permitting a corporation to be member of the LPC. The proposed LLC modelled after the US and Japan can not be alternative to the existing LLC because they are similar to each other, not only in their historical root but also in their substance. The legislative concept for the introduction of the proposed LLC is to provide small and medium-sized businesses with suitable corporate form in the knowledge based society. The existing Limited Liability Company can be still good instrument for this legislative concept if some rules in the existing law of the Limited Liability Company are modified and improved. If the legislative decides to improve the existing law of the LLC, it should take best effort to make the exiting LLC more attractive and suitable for small and midium sized business. Some of those improvements is: abolition of minimum capital, abolition of maximum number of members, free transferability of share, permission of contribution in kind, flexible shareholder meeting and resolution, more flexible internal structure, introduction of shareholder list, flexible distribution from profit etc. It should also take into account to set the goal of the new law of the stock corporation for small business since May 2009 and that of the existing LLC law as differently as possible in order to avoid competitive situations of the both legislative goals.
