탈중앙화금융의 불공정거래 양태 및 가상자산법 적용 검토

초록

본 논문은 최근 가상자산을 이용하여 나타나고 있는 탈중앙화금융의 불공정거래 양태에 관하여 알아보고, 2024년 7월 시행될 ʻ가상자산 이용자 보호 등에 관한 법률ʼ에 포함된 불공정거래에 관한 규제를 탈중앙화금융의 불공정거래에 적용 시 어떠한 입법적 과제를 지니는지 검토해 보는 것을 목적으로 한다. 문헌 연구를 통하여 살펴본 결과, 탈중앙화금융은 장점에도 불구하고통정·가정매매, 펌프앤덤프, 상장정보 이용 등 전통적인 불공정거래 양태도 있는 반면 선행매매, 오라클 공격 등 다른 불공정거래 양태를 보이고 있다. 이러한 불공정거래를 규제하기 위해서는 탈중앙화금융에 관한 정의 규정을 확대하고, 내부자 범위 확대, 연계 시세조종 규제 도입 등 미공개정보이용 및 시세조종 규제 범위를 확대하는 것을 고려할 필요가 있다. 또 검증인 등의 이해 상충 문제에 관한 관리도 요구된다. 미국, 일본 등 주요국과 국제기구에서는 이미 탈중앙화금융에 관한 규제 논의를 시작하였다. 가상자산시장의 글로벌 규제 협력이 중요함을 고려할 때 우리나라도 더 이상 탈중앙화금융규제에 관한 논의를 늦출 수 없다. 시장의 건전성이 담보되어야 디지털금융의 혁신이 일어날 수 있다는 점을 고려할 때, 향후 디지털금융의 큰 축이 될 수 있는 탈중앙화금융의 불공정거래 등에 중점을 둔 논의는 의의가 있다.

Abstract

This study aims to provide an overview of recent trends in decentralized finance using virtual assets and examine the legal challenges the unfair trading regulations contained in the Law on the Protection of Users of Virtual Assets, which will take effect in July 2024, pose for the regulation of decentralized finance. The literature review shows that despite decentralized financeʼs advantages, traditional unfair trading behaviors such as the use of listing information, wash trading, Pump & Dump and different behaviors such as front running and oracle attacks have emerged. To regulate these unfair transactions, it is necessary to consider expanding the definition of decentralized finance, expanding the scope of insiders, and expanding the scope of non-public information use and market manipulation regulations, such as introducing linked market manipulation regulations. There is also a need to address conflict of interest issues, such as with auditors. Many countries like the United States and Japan and international organizations have already started regulatory discussions on decentralized finance. Considering the importance of global regulatory cooperation in the virtual asset market, Korea can no longer delay the discussion on the regulation of decentralized finance. Given that innovation in digital finance can only occur with high level of market integrity, it is important to focus on unfair trade in decentralized finance, which could become a major pillar of digital finance in the future.
