Abstract
This paper, in case where professional statutes apply to juristic person, explains interpretations and theories about the person, and studies the discrepancy. A law firm may elect to be a partnership company or a limited liability company. But other professional juristic persons are incorporated into only one category-a partnership company or a limited liability company. If the assets of the partnership company are insufficient to fully satisfy all its obligations, each member shall be jointly and severally liable to discharge the obligations. The liability of a member of the limited liability company shall be limited to the amount of his contribution to the company. It is reasonable that members of other professional occupations can elect to be the partnership company or the limited liability company. In case where a member has caused damages to clients, the limited liability company must have ways to protect them. According to medical statute in Korea medical juristic person can not engage in profitmaking activity. But other professional juristic persons can be incorporated for the purpose of engaging in commercial activities. I question the disunited policy by the law. It is fair to treat all professional juristic persons equal.
