초록

종래 콘텐츠실용허락거래는 주로 오프라인에서 행하여졌고 온라인 콘텐츠거래의 대부분은 단순한 콘텐츠 이용거래에 불과하였으나 오늘날은 이용자제작콘텐츠(UCC)의 증가, 콘텐츠의 온라인 배급의 가능, 소규모 콘텐츠공급자의 증가, 거래단위의 컴퓨터파일(computer file)화 등으로 온라인 실용허락거래가 급격히 증가하고 또 그 수익성도 커지고 있다. 이처럼 비약적 증가하고 있는 온라인 실용허락거래에 대하여 종래의 오프라인 상의 실용허락계약의 법리나 온라인 상의 단순이용거래의 법리를 적용할 수 없는 문제가 발생하고 있다. 따라서 본고에서는 온라인 콘텐츠 실용허락거래를 중심으로 온라인 콘텐츠거래의 새로운 법적 전개와 그 쟁점을 살펴보았다. 먼저 온라인콘텐츠거래의 이해를 위하여 콘텐츠거래의 개념과 성격을 검토하고(II), 일반적 콘텐츠거래에 있어서의 변화와 그 법적 함의를 고찰한 뒤(III), 온라인콘텐츠거래상의 변화와 법적 문제를 살핀 다음(IV), 온라인 콘텐츠실용거래 당사자간의 권리의무로서, 온라인공급자의 디지털파일의 제공의무, 타인의 지적재산권 비침해 보증의무, 책임의 제한의 한계. 상표와 광고관련 자료 제공의무, 온라인실용자 상표사용시의 의무 등 새로이 논의되는 공급자의 권리의무를 살펴보는 한편 온라인실용자의 권리의무로서 온라인실용권, 실용료 지급의무의 특수성, 보안유지의무, 전자상거래보안의무, 기술적 보호조치의 침해금지의무, 수용자 정보의 제공의무, 상표 및 광고에 관련한 의무, 콘텐츠 변경 및 이차적 저작물 작성 제한 문제 등을 살펴보았다(V). 나아가 온라인콘텐츠거래의 공정거래법상의 문제(VI)와 국제적 온라인거래의 법적 쟁점(VII)에 관하여 살펴보았다. 본고가 국내 및 국제적으로 온라인콘텐츠거래에 관한 규범을 정립하고 대륙법계와 영미법계에 공용될 수 있는 분쟁해결 메커니즘을 마련함으로써 콘텐츠거래를 더욱 활성화하는데 도움이 되기를 기대한다.

Abstract

In recent years, rapid growth of digital contents industry was expedited by the digitalization of content and the explosive growth of digital media, the Internet, wireless systems, and mobile handheld devices. Digital contents transactions have certain characteristics which are much different from the traditional goods transactions. Online transactions and mobile contents transactions are becoming more common. The contracts for digital contents transactions are mostly contracts of adhesion. Also, a unit of digital contents transaction becomes based on computer-file rather than Disc and distribution of digital contents on line has caused increase of copyright licenses. Since there is no border in cyberspace, digital contents transactions are inherently transnational. Due to the above characteristics of digital contents transactions, it is difficult that theory for past off-line license contracts and for the simple online access transactions can apply to an online license transactions, which are increasing rapidly. Therefore, this article purposes to review new legal developments and the issues of online contents transactions, focusing at online contents license transactions. This article deals with legal issues in digital contents transactions mainly focusing on the important rights and duties between the parties to the digital contents license transactions. Through this, it is hoped that excessive protection of digital contents can be prevented and will also promote use and distribution of contents for the better development of the digital information industry. First of all, for understanding of online contents transactions, definition and characteristics of contents transactions will be reviewed(II). Then, changes in common contents license transactions and legal implications thereof will be discussed(III) and changes and legal problems in online contents license transaction will be reviewed(IV). Furthermore this article will discuss new developments in rights and duties of the parties in digital contents license transactions(V) and regulations of unfair online contents license transactions(VI). Finally, as international transactions of digital contents are increasing, this article will discuss with the needs for international norms therefor, jurisdiction for international digital contents disputes and governing law thereof including their implications of international taxation(VII).
