Abstract

On the Corporate Governance and the Reform of Corporate System in China Yang, Dong-Suk China has become a great success in economic achievements after making the law of corporation in 1993. The whole world are anxious about how China could achieve the great results for so short times. This study introduces the history of Chinese corporate law, including the situations before the corporate law, and introduces the corporate governance in Chinese corporate system. They accepted western legal system and Japanese in their business corporation legal system , and reflected their traditional planned economy system in their corporation law. But there were much more problems than they expected before the law. Because it was very difficult to harmonize between traditional planned economy system and the modernized corporations developed under western liberal economy system. Nevertheless, they could overcome the problems with the corporate system they made in 1993, and revised the law very broadly in 2005. and they reformed many systems and related law in recent under the directions of chines government. Surprisingly, economy and corporate system was developed too much. But, still now they have so many problems in legal system here and there. In this study, the first chapter is introduction and the second is corporation system in China, the third is listing system and corporate governance. And the forth is related listing system and market role for corporate governance. The fifth chapter is conclusion.
