Abstract

In customs valuation, royalties and license fees paid for use of intangibles such as trademarks shall be added to the import price of goods where the payments are related to the goods being valued and conditional on the sale of the goods. This paper looks into the Supreme Court case 2015du52098 dated August 30, 2016 which regarded the international marketing fee allocated to a local subsidiary of a Multinational Enterprise (“MNE”) as a trademark royalty to be added to the import price, and examines the substantive nature of the “international marketing fee” as well as the “related to” and “condition of sale” requirements in terms of customs valuation. In view of the responsibility of trademark owners in general, together with the trademark license agreements of the case and the relevant OECD transfer pricing guidelines for MNEs, the trademark owner seems primarily responsible for the maintenance and enhancement of the brand value, while the trademark licensee cannot be obliged to share the burden of the international marketing fee apart from the obligation to engage in domestic marketing and promotion. That is, we cannot deny that the international marketing activities of MNE headquarters are designed to maintain and promote its trademark value. And it does not conform well with the nature of the trademark ownership if the trademark licensee reimburses the international marketing fee to the headquarters. If the trademark licensee is responsible for such international marketing campaign which is actually implemented by the headquarters as the trademark owner, the licensee should rather be compensated for the corresponding benefits incurring to the headquarters in the form of the enhanced trademark value, which did not occur in this case. Taking all the facts and circumstances into consideration, it seems reasonable to apply the substance over form doctrine in the case at hand and to conclude that the international marketing fee should be regarded as a trademark royalty and condition of sale pertaining to the imported goods. The Supreme Court case can be a good example of the rising significance of intangibles-related customs valuation.
